Terms of Service

1. Introduction

Welcome to WisePPC, a software-as-a-service (“Service”) provided by Crystal Logistics Corporation (“Company,” “we,” “us,” or “our”). By using WisePPC, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, please do not use the Service.

2. Description of Service

WisePPC provides analytics, reporting and management tools for sellers and advertisers. It connects to the marketplace and advertising accounts you choose, such as Amazon, Google, Meta (Facebook and Instagram), Microsoft Advertising, TikTok, Pinterest, eBay, Walmart and Shopify, as each becomes available. It also lets AI assistants and other tools you choose work with your data through MCP and API keys. The Service is provided “as is” and is subject to changes, updates, and discontinuation at our discretion.

3. Account Registration

  • You must be at least 18 years old to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • If you add people to your business profile, you are responsible for what they do in it.
  • We reserve the right to suspend or terminate accounts found in violation of these Terms.

4. Payments and Subscription

  • WisePPC is a paid service with subscription plans.
  • Payments are processed through third-party payment providers, and all fees are non-refundable.
  • We may change pricing at any time, with notice to existing users.

5. Connected Platforms

  • You may connect only accounts you own or are authorized to manage. By connecting an account, you authorize WisePPC to access it on your behalf with the permissions you approve.
  • You must follow the terms and policies of each platform you connect, including Amazon’s advertising and Selling Partner policies, Google’s advertising policies, Meta’s Commercial Terms and Advertising Standards, and the equivalent rules of Microsoft Advertising, TikTok, Pinterest, eBay, Walmart and Shopify.
  • WisePPC follows each platform’s developer terms. A platform can change, limit or end our access at any time, and parts of the Service may then stop working. Crystal Logistics Corporation reserves the right to limit or suspend your access to a connection if a platform restricts it because of a policy violation.
  • WisePPC is not affiliated with, endorsed by or sponsored by these platforms. Their names and trademarks belong to their owners.

6. Changes to Your Connected Accounts

  • Some connections let WisePPC make changes, such as to bids, budgets, campaigns or listings. WisePPC makes a change only when you request it, when a rule you set up calls for it, or when a tool you authorized requests it, and applies it with your authorization.
  • For each API key you choose whether its changes wait for approval or are applied automatically.
  • You are responsible for the rules you set up and for the changes you request, approve or allow to apply automatically.

7. External Access: MCP and API Keys

  • You can let AI assistants and other tools you choose reach your WisePPC data through MCP or API keys.
  • Keep your API keys secret. Anyone with a key can use it within the permissions you gave it.
  • You choose the tools you connect and are responsible for them. Data a tool reads leaves WisePPC and is handled under that tool provider’s terms. We are not responsible for the actions, suggestions or output of tools you connect, including AI assistants.
  • You can disable or delete an API key, and revoke a connected AI app, at any time in your WisePPC settings.

8. Limited Liability Disclaimer

  • WisePPC is an analytics and management tool and does not guarantee any specific results.
  • Crystal Logistics Corporation shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the Service.
  • You acknowledge that the policies, algorithms and results of the platforms you connect are beyond our control, and we are not responsible for any financial loss, suspension, or performance changes due to WisePPC’s recommendations, rules or automation features, or to changes made through tools you connect.
  • You use the Service at your own risk, and you assume full responsibility for the consequences of any actions taken based on WisePPC’s analytics or automation.

9. Indemnification

You agree to indemnify, defend, and hold harmless Crystal Logistics Corporation and its affiliates, employees, and partners from any claims, liabilities, damages, or expenses arising out of:

  • Your use of the Service.
  • Your violation of these Terms or applicable laws.
  • Any third-party claims related to your business decisions based on WisePPC data.
  • Any violation of a connected platform’s terms or policies, by you or by tools you connect, that results in penalties or restrictions imposed on WisePPC.

10. No Warranties

  • The Service is provided on an “as is” and “as available” basis without warranties of any kind.
  • We do not guarantee uninterrupted or error-free performance of the Service. Data from connected platforms can be delayed, incomplete or changed by the platform.
  • We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Data Privacy and Compliance

  • Our Privacy Policy explains how we collect, use, store, share and delete data, including data from your connected accounts. For the data in your connected accounts, including your buyers’ and customers’ personal data, we act as your service provider (processor).
  • You are responsible for having the right to share your buyers’ and customers’ data with us, and for your compliance with platform policies, the GDPR, the CCPA and other applicable regulations when using WisePPC.
  • You can delete your data as described on Delete your data.
  • We reserve the right to audit usage and compliance with platform policies and to terminate accounts that violate such policies.

12. Termination

  • We may suspend or terminate your access to the Service at any time for violations of these Terms.
  • Users may cancel their subscription at any time, but fees already paid are non-refundable.
  • If a platform restricts WisePPC’s access, we are not liable for the resulting service interruptions.
  • After termination, we delete your data as described in our Privacy Policy.

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Delaware, USA.
  • Any disputes shall be resolved through arbitration in Delaware, USA unless otherwise required by law.

14. Changes to Terms

We may update these Terms from time to time. We will post the new version here with a new “Last updated” date. Continued use of the Service after any modifications constitutes your acceptance of the updated Terms.
